Terms & Conditions
This document outlines the terms, responsibilities, and legal conditions for using Toolii’s software solutions, support services, and related tools. It serves as a binding agreement between Toolii and the end user, ensuring transparency, accountability, and compliance with relevant laws and policies.
1. Agreement Overview
This Agreement outlines the terms and conditions under which Toolii, operated by toolii.com.au, resells and supports third-party software tools (including but not limited to OCR and voice bot tools) to healthcare providers and clinics using medical prescribing software. By purchasing, installing, or using any Toolii product, you (“You” or “the User”) agree to be bound by the terms of this Agreement, including the Toolii Terms and Conditions, the Software License Agreement of the original software provider, and all applicable privacy and data compliance laws.
2. Reseller Statement
Toolii is the sole authorised retail seller for the OCR and voicebot tools and related Toolii-branded products that integrate with medical prescribing systems. While we provide installation and support, Toolii is not the developer or licensor of the underlying software and does not assume responsibility for its core functionality, bugs, or defects.
3. Compatibility Notice
Before purchasing, you must evaluate whether the software is suitable for your practice or organisation.
- Currently, our OCR to BP and Voicebot tools are compatible with Best Practice Software.
- The HL7 version tool to upload all incoming files into results in folder automatically without any human intervention for BP and other Medical Prescribing software
4. System Behaviour & File Handling
In the event of:
- Duplicate patient records,
- Unreadable documents, or
- Missing patient details in your clinical software,
…the OCR tool will automatically move documents to:
- The “Error” folder within the Investigations directory, or
- The Patient’s Correspondence → Error folder, depending on original location.
It is the User’s responsibility to monitor and validate all document movements.
Additional functions available for users to use:
- Split function tool: to split documents available
- Create new patient file tool: to create new patients and allocate documents available
- Email extractor tool: to extract attachments and upload into doctor’s inbox
- Manual intervention tool available to use on web or desktop
5. Liability Disclaimer
Toolii does not guarantee flawless performance and is not liable for:
- Mismatched or misplaced documents
- Patient identification errors
- Medico-legal or operational damages resulting from tool use
6. Support & Bug Reporting
All technical issues or bugs must be reported directly to the product-specific support portal. Toolii will coordinate with the development company, but cannot resolve core software errors independently.
7. Data Privacy & Security
- All documents remain stored locally on your infrastructure.
- Toolii and its associated tools do not retain or store any patient data.
- Documents are processed in-memory, via encrypted transactions.
- Files are destroyed after processing and are never stored in Toolii’s data centers in AUSTRALIA.
8. Marketing Disclosure
Toolii may display your clinic name and logo as part of its client showcase. If you wish to opt out, please notify us in writing.
9. Pricing & Payment
- All prices are subject to change due to operational cost increases.
- Customers will receive at least 30 days' notice prior to any price adjustments.
- In the event of unpaid invoices and suspended services, a $250 reconnection fee applies.
10. Termination of Service
Toolii reserves the right to terminate or suspend services immediately, without notice, for any breach of this Agreement.
11. Limitation of Liability
Toolii’s liability, in any case, shall be limited to the amount paid by the User for the product or AUD $10, whichever is lower. Toolii will not be liable for:
- Indirect or consequential damages,
- Business interruptions,
- Privacy breaches resulting from misuse,
- Clinical or administrative errors due to software defects.
12. User Obligations
You agree to:
- Regularly check upload logs and error folders,
- Assign internal staff to monitor tool performance,
- Ensure correct setup and patient record accuracy in your system.
13. Severability
If any part of this Agreement is found to be unenforceable, the remaining provisions shall remain in effect.
14. Governing Law
This Agreement shall be governed and interpreted in accordance with the laws of Australia. All disputes shall be attempted to be resolved amicably before initiating formal legal proceedings.
15. Amendments
We reserve the right to update this Agreement at any time. Material changes will be communicated with 30 days’ notice. Continued use after the effective date of the changes constitutes acceptance of the revised terms.

Intellectual Property & Use Restrictions
1. Ownership of Intellectual Property
All content, tools, software systems, code, workflows, user interfaces, voice bot scripts, marketing materials, training guides, AI prompts, conversation flows, automation logic, design layouts, branding, documentation, and processes developed or provided by Toolii Pty Ltd ("Toolii", "we", "us")—including the manner in which these services are delivered—are the exclusive intellectual property of Toolii.
All rights, title, and interest in and to our services, including any modifications, enhancements, or derivative works, remain exclusively with Toolii and are protected under Australian Copyright Law, Trade Secrets Law, and International IP Treaties.
2. Restrictions on Use
You agree not to:
- Copy, imitate, clone, replicate, or reverse-engineer any aspect of our services, tools, or delivery mechanisms.
- Use any part of Toolii’s systems, software, or methodology for building a competing product or service.
- Reproduce, distribute, or disclose any part of our software, scripts, training material, or system designs without prior written permission.
- Train staff, contractors, or competitors using Toolii’s materials or system flows without written agreement.
3. Confidentiality
You agree to treat all proprietary processes, documentation, logic, and conversations provided by Toolii as confidential and not to disclose them to any third party without prior written approval.
4. Monitoring and Enforcement
Toolii actively monitors unauthorized use, misuse, or imitation of its services and retains the right to take legal or technical measures to prevent unauthorized replication or distribution of its IP.
We reserve the right to terminate your access immediately without refund if you breach this clause.
